Welcome to collab.cat. These Terms of Service (“Terms”) govern your use of collab.cat across our products, including our website and mobile applications for iOS and Android (collectively, the “Services”). By creating an account, installing or using the Services, you agree to these Terms.
1. Acceptance of Terms
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be able to form a legally binding contract in your jurisdiction and meet any minimum age or verification requirements we describe in the product. If you use the Services on behalf of a business or other entity, you represent that you are authorized to accept these Terms for that entity.
3. License and Use Restrictions
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and any product-specific rules we publish.
You agree not to:
- Copy, modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, or circumvent security or access controls, except where applicable law expressly permits;
- Use the Services for any unlawful, fraudulent, or harmful activity;
- Infringe the rights of others, including intellectual property, privacy, and publicity rights, or misrepresent your identity or affiliation;
- Probe, scan, or attack our systems, or use automated means to access the Services in a way that impairs performance, security, or reliability;
- Use the Services to send spam or unsolicited bulk communications contrary to our policies or applicable law.
4. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that we process personal data as described there to operate, secure, and improve the Services.
5. Mobile Applications and Notifications
Our mobile apps may request permissions needed for core functionality (for example camera or photo library access when you upload images, or notification permission if you opt in to push notifications). You can review and change permissions in your device settings. Push notifications are used to deliver service-related updates you have signed up for; you can disable them at any time where your platform allows.
6. Accounts, User Content, and the Marketplace
You are responsible for safeguarding your credentials and for activity under your account. You retain ownership of content you submit (such as profiles, offers, applications, proof, and messages). You grant us a license to host, process, display, and distribute that content as needed to operate and improve the Services, including showing it to intended counterparties (for example businesses reviewing applications or creators viewing offers).
collab.cat provides a platform for businesses to publish offers and for users to apply and submit proof. Commercial terms, rewards, approvals, and disputes between businesses and participants are primarily between those parties. We facilitate the platform but are not a party to every transaction unless we say so expressly in writing.
7. Third-Party Services
The Services may rely on or link to third-party infrastructure or tools (such as hosting, authentication, email delivery, or payment providers where applicable). Your use of those services may be governed by the third party’s terms and policies. We are not responsible for third-party services we do not control.
8. Intellectual Property
collab.cat, including its branding, design, and software, is owned by us or our licensors and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks or other intellectual property except for the limited license above.
9. Feedback
If you provide suggestions or feedback, you grant us a non-exclusive, worldwide, royalty-free right to use that feedback to improve the Services without obligation to you.
10. Updates and Availability
We may update, change, or discontinue the Services or features at any time. Availability may vary by platform, region, or account status. We are not liable for unavailability or modification except where applicable law requires otherwise.
11. Termination
We may suspend or terminate your access to the Services if you violate these Terms, if we discontinue the Services, or where we reasonably need to protect users or the platform. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnity) will survive termination.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND RELIABILITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANDA NETWORK, COLLAB.CAT, AND THEIR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR FIFTY US DOLLARS (USD $50), UNLESS APPLICABLE LAW REQUIRES OTHERWISE.
14. Indemnification
You agree to indemnify and hold Panda Network and collab.cat harmless from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the Services in violation of these Terms, or your violation of law, subject to our prompt notification and reasonable cooperation where defense is required.
15. Governing Law
These Terms are governed by the laws of the jurisdiction where Panda Network is established, without regard to conflict-of-law principles. Venue shall lie in the competent courts of that jurisdiction, except where mandatory consumer protections in your country require otherwise.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the effective date above or by in-app or email notice where feasible. Continued use of the Services after changes indicates acceptance of the updated Terms, except where applicable law requires additional steps.
